Terms of sale.
Last updated October 26, 2026
These terms apply to every sale of products by Copeland National Inc. ("Copeland") to a customer ("Buyer"). By placing an order, Buyer accepts these terms. Terms in Buyer's purchase order or other documents that add to or differ from these terms don't apply unless Copeland agrees to them in writing.
1. Quotes and orders
Quotes are valid for 30 days unless the quote says otherwise. An order is binding only when Copeland confirms it in writing, including by email.
2. Prices and taxes
Prices are in U.S. dollars and don't include sales or use taxes, duties or other charges unless the quote says so. Buyer pays any applicable taxes unless it provides a valid exemption certificate.
3. Payment
Copeland accepts wire transfers, bank transfers and cashier's checks. Payment is due before shipment unless Copeland has approved Buyer for net terms in writing. Net terms are offered at Copeland's discretion to customers who have established a history with us, and Copeland may change or withdraw them. If an invoice is past due, Copeland may hold further shipments until it's paid.
4. Delivery
Copeland delivers orders to Buyer's address; pickup isn't available. Ship dates are estimates. Stock items typically ship in 1 day from Perth Amboy, NJ, but Copeland isn't liable for delays. Title and risk of loss pass to Buyer on delivery.
5. Inspection and claims
Buyer should inspect goods on delivery and note any visible damage on the delivery receipt. Shortages, damage or products that don't meet the agreed specification must be reported in writing to sales@copelandnational.com within 7 days of delivery, before the goods are used, filled or altered. Goods not reported within that time are considered accepted.
6. Returns
Returns need Copeland's written authorization first. Custom, sourced and decorated products can't be returned unless they don't meet the agreed specification.
7. Custom and sourced products
Custom products are made to the specification and samples Buyer approves in writing. Normal manufacturing variation in color, dimensions and quantity within customary industry tolerances isn't a defect. Lead times for custom and overseas orders are estimates. Once production has started, a custom order can't be cancelled, and Buyer pays for work and materials already committed.
8. Cancellations
Orders for stock items may be cancelled before shipment only with Copeland's agreement.
9. Suitability and compatibility
Copeland provides specifications, matches closures to neck finishes and fit-checks components, but Buyer is responsible for deciding whether the products suit its contents, filling and capping equipment and intended use, including compatibility and stability testing, and for meeting the laws and labeling rules that apply to its finished products.
10. Testing and documents
Spec sheets, SGS test reports and certificates of conformance are available on request. Test reports describe the samples or lots tested and aren't a guarantee for other lots or uses.
11. Warranty
Copeland warrants that products will meet the agreed specification when delivered. If they don't, and Buyer reports it as described in section 5, Copeland will, at its option, replace the products or refund or credit the price paid for them. This is Buyer's only remedy. To the extent the law allows, Copeland makes no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
12. Limitation of liability
To the extent the law allows, Copeland isn't liable for indirect, incidental, consequential or special damages, including lost profits, lost product, filling or labor costs, or recall costs, and Copeland's total liability for any claim is limited to the price Buyer paid for the products involved.
13. Events beyond our control
Copeland isn't responsible for delays or failures caused by events beyond its reasonable control, such as supplier or factory delays, shipping and port disruptions, customs holds, weather, labor actions, or government action.
14. Governing law
These terms are governed by the laws of the State of New Jersey. Any dispute will be decided in the state or federal courts located in New Jersey.
15. Entire agreement
These terms, with Copeland's written order confirmation, are the entire agreement for each sale. Copeland may update these terms for future orders; the date at the top shows when they last changed.
